Well, against his stack you can easily even Call it. You need only ~34% equity here to make it break-even. 
And even if he ships just his very strong hands like this:

UTG 34.36% 33.42% 0.94% { AsQs }
UTG+1 65.64% 64.70% 0.94% { TT+, AKs, AKo }
It's still pretty much a flip. Although I doubt that it's only this range. He may easily even ship it with wider range including worse Ax hands and also worse PPs.
